This share is assigned in full to non- resident investors for the purpose of this article.
The reason for this is § 8b Corporation Tax Act (KStG). This means that 95 percent of the profit distributions of the GmbH Holding are tax-free. Only the remaining 5 percent are taxable. With a corporate and trade tax rate of approximately 30 percent in total, this results in an overall tax burden of only 1.5 percent (5% x 30%).
That can set limits to the geographical scope of a German stewardship Code. Put differently, since many German firms are owned by institutional investors that are predominantly based abroad, any official German stewardship initiative would not have a significant effect on domestic shareholder engagement.
